Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the services provided by Razorbill Technologies ("Razorbill", "we", "us", or "our"), including our websites, software platforms, applications, APIs, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Services.

1. Company Information

Razorbill Technologies is a technology company providing digital business solutions, including appointment booking, customer relationship management, eCommerce, point-of-sale, inventory management, and related software services.

2. Eligibility

You must be at least eighteen (18) years old or have the consent of a parent or legal guardian to use the Services.

By using the Services, you represent and warrant that:

  • You have the legal capacity to enter into a binding agreement.
  • All information provided by you is accurate and complete.
  • Your use of the Services complies with applicable laws and regulations.

3. Description of Services

Razorbill Technologies provides software and digital business solutions, including but not limited to:

  • Hub: Central workspace for authentication, organization management, billing, and account administration.
  • BookMySpot: Appointment booking, reservation, scheduling, and event management platform.
  • Focus: Customer relationship management (CRM), customer engagement, and marketing automation platform.
  • Cartivo: eCommerce platform, online storefronts, and digital sales solutions.
  • StockList: Point of Sale (POS), inventory management, and retail operations software.
  • APIs, integrations, mobile applications, support services, and future related offerings.

We reserve the right to modify, improve, discontinue, or replace any Service at any time.

4. User Accounts, Organizations, and Invitations

4.1 Account Registration and Security

To access certain features, you may be required to create an account. You agree to provide accurate information, maintain credentials, accept responsibility for account activity, and notify us of unauthorized access.

4.2 Multi-Organization Workspace Structure

  • A single user account may belong to multiple organizations simultaneously.
  • Each organization maintains separate billing, subscriptions, permissions, and operational data.
  • Subscription actions apply at the organization level.

4.3 User Invitations

  • Invitations expire seven (7) days after issuance.
  • Invitations must be accepted using the invited email address.
  • Access is granted only after invitation acceptance under the assigned role.

5. Acceptable Use

You agree not to violate laws, infringe rights, upload malware, commit fraud, send spam, interfere with the Services, attempt unauthorized access, reverse engineer, use unauthorized automation, or negatively affect other users.

6. Payments, Billing, and Financial Records

6.1 Subscription Fees

Paid subscriptions are billed in advance monthly or annually and renew automatically unless cancelled before renewal.

6.2 Refund Policy

Except where required by law, subscription fees are non-refundable.

6.3 Payment Processing

Payments may be processed through third-party providers. Razorbill does not store full payment card details.

6.4 Financial Record Retention

Billing records are retained for up to 7 years, separately from operational data.

7. Customer Data and Responsibilities

Customers are responsible for obtaining consents, ensuring lawful data, maintaining backups where required, and complying with applicable privacy and marketing laws.

8. User Content

You retain ownership of your content and grant Razorbill a license to host and process it to operate the Services.

9. Third-Party Services

Integrations with third parties are subject to their own terms. Razorbill is not responsible for third-party availability or security.

10. Intellectual Property

All intellectual property in the Services belongs to Razorbill or its licensors.

11. Feedback

Feedback may be used by Razorbill without compensation or attribution.

12. Privacy

Your use is governed by our Privacy Policy, which forms part of these Terms.

13. Service Availability

We strive for reliable Services but do not guarantee uninterrupted operation.

14. Beta Features

Beta or experimental features are provided without warranties and may change or be discontinued at any time.

15. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

16. Limitation of Liability

Liability is limited to the amount paid in the twelve (12) months before the claim, to the maximum extent permitted by law.

17. Indemnification

You agree to indemnify Razorbill against claims arising from your use of the Services or violation of these Terms.

18. Suspensions, Cancellations, and Termination

18.1 Non-Payment

  • 14-day grace period after missed payment.
  • Suspension if unpaid after grace period; Billing and Settings remain accessible.

18.2 User Cancellations and Downgrades

  • 3-month retention after billing period ends.
  • Automatic transition to Free if no action is taken.
  • Operational data may be deleted after 30 days on Free.

18.3 Internal Member Management

Owners and Admins may suspend members within their organization only.

18.4 Account and Organization Deletion

Deletion requests follow a 30-day notice period for operational data; billing records are retained as required.

18.5 Material Breach

We may suspend or terminate access immediately for severe violations.

19. Force Majeure

Razorbill is not liable for delays beyond reasonable control.

20. Electronic Communications

You consent to receive notices and billing communications electronically.

21. Assignment

You may not assign these Terms without consent. Razorbill may assign them in connection with corporate transactions.

22. Dispute Resolution

Parties will attempt good-faith negotiation before legal proceedings in Ghana courts.

23. Governing Law

These Terms are governed by the laws of the Republic of Ghana.

24. Severability

Invalid provisions do not affect the remainder of these Terms.

25. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement regarding the Services.

26. Changes to These Terms

Material changes will be communicated through the Services or email. Continued use constitutes acceptance.
